About FLEU

Under normal market conditions,the Fund invests at least 80% of its assets in the component securities of the FTSE Developed EurozoneIndex and in depositary receipts representing such securities. The Fund’s investments in derivativeinstruments and other investments that provide investment exposure similar to the component securitiesof the FTSE Developed Eurozone Index are included in the Fund’s 80% basket. The FTSE DevelopedEurozone Index is a free float-adjusted market capitalization weighted index maintained and calculatedby FTSE Russell. The FTSE Developed Eurozone Index is designed to measure the performance of large- andmid-capitalization stocks from developed Eurozone countries. The Eurozone is a geographic and economicregion that consists of all the European Union (EU) countries that have fully incorporated the euro astheir national currency. The FTSE Developed Eurozone Index currently consists of securities from thefollowing ten developed market countries: Austria, Belgium, Finland, France, Germany, Ireland, Italy,the Netherlands, Portugal and Spain. FTSE Russell determines eligible securities for the FTSE DevelopedEurozone Index based on measures such as the company’s place of incorporation, listing country,investor protection regulations present in the country of incorporation, tax domicile, location of headquarters/factorsof production and currency of denomination. FTSE Russell also maintains a set of criteria to assess acountry’s market status, including various quality of markets criteria, a country’s prevailingregulatory environment, custody and settlement, and dealing landscape. As of May 31, 2026, theFTSE Developed Eurozone Index was comprised of 261 securities with capitalizations ranging from $1.73billion to $622.83 billion.The Fund, using a “passive” or indexing investment approach, seeksinvestment results that closely correspond, before fees and expenses, to the performance of the FTSEDeveloped Eurozone Index. The Fund may use either a replication strategy or representative sampling strategy.Under a replication strategy, the Fund will replicate the component securities of the FTSE DevelopedEurozone Index as closely as possible (i.e., invest in all of the component securities in their respectiveweightings in the FTSE Developed Eurozone Index). However, under various circumstances, it may not bepossible or practicable to replicate the FTSE Developed Eurozone Index. In these circumstances, the Fundmay use a “representative sampling” strategy whereby the Fund would invest in what it believesto be a representative sample of the component securities of the FTSE DevelopedEurozone Index, but may not track the FTSE Developed Eurozone Index with the same degree of accuracyas would an investment vehicle replicating the entire FTSE Developed Eurozone Index. Under the representativesampling technique, the investment manager will select securities that collectively have an investmentprofile similar to that of the FTSE Developed Eurozone Index, including securities that resemble thoseincluded in the FTSE Developed Eurozone Index in terms of risk factors, performance attributes and othercharacteristics, such as market capitalization and industry weightings. The Fund may invest inequity futures (including equity index futures) and equity total return swaps to provide additional opportunitiesto add value and better track the performance of the Fund’s FTSE Developed Eurozone Index, suchas to equitize cash and accrued income (i.e., gain equity market exposure and maintain liquidity untilthe Fund invests in individual securities), simulate investments in the FTSE Developed Eurozone Index,facilitate trading or minimize transaction costs.The Fund may enter into foreign currency forward contractsand/or currency futures contracts to provide the Fund with additional opportunities to add value andbetter track the performance of the Fund’s FTSE Developed Eurozone Index, such as by facilitatinglocal securities settlements or protecting against currency exposure in connection with distributionsto Fund shareholders.The Fund intends to be diversified in approximately the same proportion as theFTSE Developed Eurozone Index is diversified. The Fund may become “non-diversified,” as definedin the 1940 Act, solely as a result of a change in relative market capitalization or index weightingof one or more constituents of the FTSE Developed Eurozone Index. A “non-diversified” fundgenerally invests a greater proportion of its assets in the securities of one or more issuers and investsoverall in a smaller number of issuers than a diversified fund. Shareholder approval will not be soughtif the Fund becomes non-diversified due solely to a change in the relative market capitalization or indexweighting of one or more constituents of the FTSE Developed Eurozone Index.The Fund will concentrateits investments (i.e., hold 25% or more of its net assets) in a particular industry or group of industriesto approximately the same extent that the FTSE Developed Eurozone Index is concentrated. As of May 31,2026, the FTSE Developed Eurozone Index was concentrated in the financial services sector.
