About DFAS
Dimensional Fund Advisors LP’s (the “Advisor”) tax managementstrategies for the US Small Cap ETF are designed to maximize the after tax value of a shareholder’sinvestment. Generally, the Advisor buys and sells securities for the Portfolio with the goals of: (i)delaying and minimizing the realization of net capital gains (e.g., selling stocks with capital lossesto offset gains, realized or anticipated); and (ii) maximizing the extent to which any realized net capitalgains are long-term in nature (i.e., taxable at lower capital gains tax rates).Toachieve the US Small Cap ETF’s investment objective, the Advisor implements an integrated investmentapproach that combines research, portfolio design, portfolio management, and trading functions. As furtherdescribed below, the Portfolio’s design emphasizes long-term drivers of expected returns identifiedby the Advisor’s research, while balancing risk through broad diversification across companies andsectors. The Advisor’s portfolio management and trading processes further balance those long-term drivers of expectedreturns with shorter-term drivers of expected returns and trading costs.TheUS Small Cap ETF, using a market capitalization weighted approach, is designed to generally purchasea broad and diverse group of securities of U.S. small cap companies. The Advisor generally defines aU.S. company as one that is listed and principally traded on a securities exchange in the United Statesthat is deemed appropriate by the Advisor. A company’s market capitalization is the number of its sharesoutstanding times its price per share. Under a market capitalization weighted approach, companies withhigher market capitalizations generally represent a larger proportion of the Portfolio than companieswith relatively lower market capitalizations. The Portfolio may emphasize certain stocks, including smallercapitalization companies, lower relative price stocks, and/or higher profitability stocks as comparedto their representation in the small-cap segment of the U.S. market. An equity issuer is considered tohave a low relative price (i.e., a value stock) primarily because it has a low price in relation to itsbook value. In assessing relative price, the Advisor may consider additional factors such as price tocash flow or price to earnings ratios. An equity issuer is considered to have high profitability becauseit has high earnings or profits from operations in relation to its book value or assets. The criteriathe Advisor uses for assessing relative price and profitability are subject to change from time to time.Asa non-fundamental policy, under normal circumstances, the US Small Cap ETF will invest at least 80% ofits net assets in securities of small cap U.S. companies. For the purposes of the Portfolio, the Advisorconsiders small cap companies to be companies whose market capitalizations are generally in the lowest10% of total market capitalization or companies whose market capitalizations are smaller than the 1,000thlargest U.S. company, whichever results in the higher market capitalization break. Total market capitalizationis based on the market capitalization of eligible U.S. operating companies listed on a securities exchangein the United States that is deemed appropriate by the Advisor. Under the Advisor’s market capitalizationguidelines described above, based on market capitalization data as of December 31, 2025, the market capitalizationof a small cap company would be below $16,768 million. This threshold will change due to market conditions.TheAdvisor may also increase or reduce the US Small Cap ETF’s exposure to an eligible company, or excludea company, based on shorter-term considerations, such as a company’s price momentum, short-run reversals, and investment characteristics. In assessing a company’s investment characteristics, the Advisor considersratios such as recent changes in assets divided by total assets. The criteria the Advisor uses for assessinga company’s investment characteristics are subject to change from time to time. In addition, the Advisorseeks to reduce trading costs using a flexible trading approach that looks for opportunities to participatein the available market liquidity, while managing turnover and explicit transaction costs.TheUS Small Cap ETF may purchase or sell futures contracts and options on futures contracts for U.S. equitysecurities and indices, to increase or decrease equity market exposure based on actual or expected cashinflows to or outflows from the Portfolio. The US Small Cap ETF may lend itsportfolio securities to generate additional income. The US Small Cap ETF isan actively managed exchange-traded fund and does not seek to replicate the performance of a specificindex and may have a higher degree of portfolio turnover than such index funds.
